👋 Agreement to Terms

These Terms and Conditions ("Terms") govern your use of services provided by Reiyn Media ("we," "us," or "our"), a business operating in Alberta, Canada. By submitting our onboarding form, booking a strategy call, or engaging our services in any way, you agree to be bound by these Terms.

Please read these Terms carefully. If you do not agree with any part of them, you should not use our services. We reserve the right to update these Terms at any time, with changes taking effect upon posting to our website.

⚙️ Description of Services

Reiyn Media provides lead management, marketing automation, and AI-powered communication systems for service-based businesses, including but not limited to:

• Toll-free number registration and setup
• Automated text and email response systems
• CRM pipeline setup and management within GoHighLevel
• Missed call text-back automation
• Automated review request campaigns
• AI voice agent and conversational AI setup
• Website chatbot widget integration
• Repeat customer re-engagement campaigns
• Website design and build (where applicable)

The specific services delivered to you will be confirmed during your onboarding call and may vary based on your selected plan.

💳 Payment Terms

By engaging our services, you agree to the following payment terms:

• A one-time setup fee applies to all plans. The amount will be discussed and confirmed during your onboarding call and varies based on the complexity of your setup
• Monthly subscription fees are due on the same date each month, beginning on the date your system goes live
• Payments are non-refundable once setup work has commenced
• If payment is not received within 7 days of the due date, we reserve the right to suspend your service until payment is received
• Toll-free number costs and third-party platform fees (such as GoHighLevel subscription costs) may be billed separately and are not included in our service fee unless explicitly stated

🎁 Free Trial Terms

Starter plan clients receive a 30-day free trial of the AI Lead & Reputation System, which includes the AI voice agent, conversational AI, and automated review response features. The following conditions apply:

• The free trial begins on the date your system goes live
• After 30 days, the AI features will be automatically disabled unless you upgrade to the Growth plan
• No credit card is required specifically for the trial — it is included with your Starter plan subscription
• We will notify you before the trial period ends to discuss upgrading
• Reiyn Media reserves the right to modify or discontinue the free trial offer at any time for new clients

✅ Your Responsibilities

To ensure we can deliver the best possible service, you agree to:

• Provide accurate and complete information during onboarding
• Respond to our communications in a timely manner, particularly during the setup phase
• Ensure that all contacts in your CRM have provided appropriate consent to receive automated text and email communications
• Use our services only for lawful business purposes and in compliance with all applicable Canadian and local laws
• Not use our systems to send spam, harass individuals, or violate Canada's Anti-Spam Legislation (CASL)
• Notify us promptly of any changes to your business information, contact details, or service requirements
• Maintain your own GoHighLevel account subscription (if on the Growth plan) and keep billing current with GoHighLevel directly

🚪 Cancellation & Termination

Either party may terminate the service arrangement with written notice. The following terms apply:

• You may cancel your monthly subscription at any time by providing 30 days written notice to [email protected]
• Your service will remain active through the end of your current billing period
• Setup fees are non-refundable regardless of when cancellation occurs
• Upon cancellation, we will provide reasonable assistance to transition your data and assets back to you
• We reserve the right to immediately terminate services if you breach these Terms, fail to pay, or use our systems in a manner that violates applicable laws

©️ Intellectual Property

The following intellectual property terms apply to our working relationship:

• Any systems, workflows, automations, and templates we build are created using our proprietary methodologies and remain the intellectual property of Reiyn Media
• Content specific to your business — such as your business name, logo, and custom messaging — remains your property
• Upon full payment and termination of services, we will provide you with reasonable access to export your business-specific data and content
• You may not resell, redistribute, or replicate our systems or methodologies without our written consent

⚖️ Limitation of Liability

To the fullest extent permitted by applicable law:

• Reiyn Media is not liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services
• We are not responsible for the actions, decisions, or outcomes of third-party platforms we use to deliver our services, including GoHighLevel, Zapier, or Google
• We do not guarantee specific results, including lead volume, conversion rates, revenue increases, or review counts
• Our total liability to you for any claim arising under these Terms shall not exceed the total fees paid by you to us in the three months preceding the claim
• We are not responsible for service interruptions caused by third-party platform outages, internet disruptions, or factors outside our reasonable control

🇨🇦 CASL Compliance

Reiyn Media operates in compliance with Canada's Anti-Spam Legislation (CASL). As our client, you are also responsible for CASL compliance in your use of our automated messaging systems:

• You confirm that all contacts you add to your CRM have provided express or implied consent to receive electronic messages from your business
• You are responsible for maintaining records of consent for your contacts
• All automated messages sent through our system include an unsubscribe mechanism as required by CASL
• We will honor all unsubscribe requests within 10 business days as required by law
• You agree not to add purchased, scraped, or otherwise non-consenting contacts to your system

🔒 Confidentiality

Both parties agree to keep confidential any proprietary or sensitive business information shared during the course of our working relationship. This includes:

• Business strategies, pricing, and operational details shared during onboarding calls
• Customer data and contact lists belonging to your business
• Our proprietary systems, workflows, and methodologies

Neither party will disclose the other's confidential information to any third party without prior written consent, except as required by law.

📍 Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein.

In the event of any dispute arising from these Terms or our services, both parties agree to first attempt to resolve the matter through good-faith negotiation. If a resolution cannot be reached, disputes will be submitted to the courts of Alberta, Canada.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

🔄 Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will notify active clients by email and update the effective date at the top of this page. Your continued use of our services after any changes constitutes your acceptance of the updated Terms.
